How to Recover Debt from Company in Dubai: Legal Guide

What happens to debt if the borrower dies

To decide how to recover debt from a company in Dubai, identify the debtor and classify the debt before sending a demand. Preserve the evidence and select the procedure supported by the documents. A returned cheque, an undisputed written debt, and a contested commercial claim may require different routes.

First Checks for How to Recover Debt From a Company in Dubai

Confirm the registered trade name, business license, legal form, and address recorded with the Dubai Department of Economy and Tourism. Check the company’s status, available assets, and any personal guarantee.

For checking company records, read about company due diligence in the UAE.

Article 1006 of Federal Decree-Law No. 25 of 2025 requires particular care where a surety guarantees the debt. The creditor must initiate judicial debt proceedings against both debtor and surety within six months after maturity.

The period begins on the day after the debt becomes due. Failure to take the required proceedings releases the surety under that provision.

The 2025 Civil Transactions Law took effect on June 1, 2026. Earlier guarantees and transactions may require a different transitional analysis.

Build a Complete Evidence File

Collect documents showing the agreement, performance, amount due, and maturity:

  • Contracts and purchase orders.
  • Invoices and signed delivery notes.
  • Approved statements of account.
  • Payment records and acknowledgments.
  • Email correspondence and relevant messages.

Article 4 of Federal Decree-Law No. 35 of 2022 does not impose a universal form for proving obligations. A specific statutory rule or written agreement may require one.

Articles 54 and 55 recognize electronic evidence and its evidentiary force as writing. Article 57 addresses unofficial electronic evidence binding on transaction parties unless rebutted in the specified circumstances.

Those circumstances include evidence issued under applicable legislation, derived from a contractually specified electronic method, or from an authenticated or publicly available method.

For a payment order, the evidence must establish a written debt that is due and determined in amount. Article 143 of the Civil Procedure Code supplies the conditions.

For the underlying contractual issues, read about remedies for breach of contract.

Send the Required Written Demand

State the principal amount, invoice numbers, maturity dates, supporting documents, and payment deadline. Use a legally permitted method of notification.

Article 144 — Written Demand Requirement

For a payment order, Article 144 requires a demand allowing at least five days. The amount demanded cannot be lower than the amount requested in the petition.

Attach the debt instrument and proof of the demand. The order is issued within three business days of the petition, and filing produces the procedural effects of bringing a claim.

An omitted or defective demand can cause rejection. Keep proof of its content, delivery, and the time allowed.

Select the Route Supported by the Debt.

Direct Cheque Enforcement

Article 667 of Federal Decree-Law No. 50 of 2022 treats a qualifying cheque as an executory instrument. The drawee bank must endorse the absence or insufficiency of funds.

Preserve the original endorsed cheque. Enforcement follows the Civil Procedure Code and attracts the applicable execution fees.

Payment Order

A written, due debt of a determined amount may qualify under Article 143. Cheques already constituting executory instruments follow their own enforcement route.

The petition requires the debt instrument and proof of a compliant demand. Court fees depend on the applicable fee schedule.

Ordinary Commercial Proceedings

Use ordinary proceedings where liability, performance, accounts, or the amount requires substantive determination. Prepare the full evidence, including any expert issues.

Duration depends on the issues, service, hearings, and possible appeal. Fees depend on the claim and applicable schedule.

When comparing the available recovery procedures, it may also help to understand how legal representation and enforcement planning are assessed. Leaders Advocates discusses these considerations in its Mondaq article on choosing a commercial debt recovery lawyer in Dubai.

Mediation or conciliation may apply under Federal Decree-Law No. 40 of 2023. A ratified settlement can become enforceable; procedural requirements must be satisfied.

An arbitration agreement may require arbitration under the chosen rules. Tribunal and institution fees then apply.

The DIFC Courts require an established jurisdictional basis. A valid written opt-in clause is one possible basis, rather than an automatic right to choose that forum.

A debt arising from a landlord–tenant relationship may fall within the Rental Disputes Center’s jurisdiction. Identify the underlying relationship before selecting the forum.

Limitation, Costs, and Company Closure

Article 92 of the Commercial Transactions Law addresses qualifying obligations between traders arising from their commercial business. Upon denial and without lawful excuse, the period is five years from maturity unless a shorter rule applies.

Under Article 133 of the Civil Procedure Code, the losing party normally bears court-assessed costs, including an assessed lawyer-fee amount. This does not necessarily reimburse the actual legal fees paid.

During liquidation, Article 323 of the Commercial Companies Law authorizes the liquidator to represent the company and pay its debts. Article 333 prevents distribution of company assets to partners before debts are paid.

A company’s debt does not automatically establish personal liability against a director. For that separate question, read about
claims against a director for a company debt.
